Throughout the site, the terms “Ocean Material”. “OM”, “we”, “us” and “our” refer to OM Group Limited. OM offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our website https://www.oceanmaterial.com and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

OM is an digital database with an intended purpose of material discovery, education, research, and sourcing. The website allows visitors to use certain Services offered on the platform (e.g. read scientific articles, perform searches across materials and receive other services as made available from OM).
You agree to solely utilize materials sourced from the website, or its supplier network for its own use and not to engage in resale, directly or indirectly.
By agreeing to these Terms of Service, you agree that your organization should use the OM logo, to identify products manufactured using material sourced through the OM supplier network (“Partner”) and its platform.
Further you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services.
SECTION 2 – REGISTRATION
In order to access all features of the website (e.g. volume pricing) and the OM Services, including placing orders, receiving volume prices and supplier information or making a customer service or support request, you may have to register for a customer account. Registration for customer account requires from you to provide us with certain information or data, such as your contact information, company details and title. The information you provide during registration must be accurate and complete, and you agree not to register under the name of another person or otherwise impersonate any other person, including any user, moderator, public figure, or OM employee. You must provide accurate information if your company is a supplier, brand, manufacture or other.
SECTION 3 – GENERAL CONDITIONS
We reserve the right to refuse registration or service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

OM uses reasonable efforts to make the website available 24 hours a day and seven days a week; however, there will be instances when the website and therefore, the Service, where applicable, will be interrupted for maintenance, upgrades or emergency repairs and due to other reasons that are beyond the control of OM, including without limitation failure of telecommunications lines, links and equipment. Although OM will make every reasonable effort to minimize such issues where it is within our reasonable control to do so, there may be instances where such a disruption might occur. In this respect, you agree that OM will not in any way be liable or responsible to you for any such modification, suspension, or disruption of the website or, where applicable, the Service.

We have made every effort to display as accurately as possible the colours and images of our products that appear at the store. We cannot guarantee that your computer monitor’s display of any colour will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
SECTION 8 – PAYMENTS
Content on the website and some of our Services may be free. However, we may charge a fee for certain Services. We will notify you via e-mail before any such service you are then using begin carrying a fee, and if you wish to continue using such services, you must pay all applicable fees for such Services. Any and all such charges, fees or costs are your sole responsibility.
Certain OM Services may be subject to payments now or in the future (the “Paid Services”). Please contact us to see our Paid Services page for a description of the current Paid Services and benefits (e.g.. membership subscription). Please note that any payment terms presented to you in the process of using or signing up for a Paid Service are deemed part of these Terms.
We use a third party payment processor to process payments made to us. In connection with the processing of such payments, we do not retain any personally identifiable information or any financial information such as credit card numbers. Rather, all such information is provided directly to our third party processor, PayPal and Stripe, whose use of your personal information is governed by their privacy policy. We are not responsible for any error by, or other acts or omissions of, the Payment Processor. By choosing to use Paid Services, you agree to pay us, through the Payment Processor, all charges at the prices then in effect for any use of such Paid Services in accordance with the applicable payment terms, and you authorize us, through the Payment Processor, to charge your chosen payment provider (Payment Method). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that the Payment Processor makes even if it has already requested or received payment. For clarity, the foregoing only applies to our billing procedures with respect to your use of the Paid Services as OM’s customer.
The terms of your payment will be based on your chosen Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method. If we, through the Payment Processor, do not receive payment from you, you agree to pay all amounts due on your Billing Account upon demand.
Some of the Paid Services may consist of an initial period, for which there is a one-time charge, followed by recurring period charges as agreed to by you. By choosing a recurring payment plan, you acknowledge that such Services have an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. We may submit periodic charges (e.g. monthly, quarterly, annual) without further authorization from you, until you provide prior notice (receipt of which is confirmed by us) that you have terminated this authorization or wish to change your payment method. Such notice will not affect charges submitted before we reasonably could act.
Auto-Renewal for Paid Services:
Any Paid Services you have signed up for will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected, at the then-current non-promotional rate. To change or resign your Paid Services at any time, please send email to support@oceanmaterial.com. If you terminate a Paid Service, you may use your subscription until the end of your then-current term, and your subscription will not be renewed after your then-current term expires. However, you will not be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. IF YOU DO NOT WANT TO CONTINUE TO BE CHARGED ON A RECURRING BASIS, YOU MUST CANCEL THE APPLICABLE PAID SERVICE THROUGH THE THIRD-PARTY PAYMENT PROCESSOR OR TERMINATE YOUR MATERIAL EXCHANGE ACCOUNT BEFORE THE END OF THE RECURRING TERM. PAID SERVICES CANNOT BE TERMINATED BEFORE THE END OF THE PERIOD FOR WHICH YOU HAVE ALREADY PAID, AND EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, MATERIAL EXCHANGE WILL NOT REFUND ANY FEES THAT YOU HAVE ALREADY PAID.
Reaffirmation of Authorization. Your non-termination or continued use of a Paid Service reaffirms that we are authorized to charge your Payment Method for that Paid Service. We may submit those charges for payment and you will be responsible for such charges. This does not waive our right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the Paid Service.
SECTION 9 – ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

SECTION 10 – COMMUNITY
When you register and join the OM NETWORK, you become a free Member (“Friend”). Paid memberships (“Sponsor”, “Innovator”) are also available upon request and shall only take place by mutual written consent. Please contact us for more information about the membership program. If you have chosen not to register, you may access certain features as a “Visitor”.
You agree that you will:
Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
Provide accurate information to us and keep it updated;
Use your real name on your profile; and
Use the services in a professional manner.
You agree that you will not create a false identity on OM Community, misrepresent your identity, create a Member profile for anyone other than yourself (a real person), or use or attempt to use another’s account.
All the other rights and obligations from these Terms accordingly applies to your use of OM Community.
SECTION 11 – OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.

Certain content, products and services available via our Service may include materials from third-parties.
Third-party links on this site may direct you to third-party websites that are not affiliated with us. SECTION 13 – THIRD-PARTY MATERIAL QUALITY AND TESTING
The platform may contain certain third-party materials. Any such materials are provided solely as a convenience to our Visitors and Users. OM has not tested or evaluated these materials, and does not endorse or make any representations about these materials. If you use any of these third-party materials, or any third-party products or services referenced in these materials, you do so at your own risk. In no event shall OM be liable for any loss, claim, damages, or costs that may arise in connection with your use of these third-party materials.
You agree to undertake all responsibility for testing, inspection, and component and quality analysis of all materials obtained, purchased, utilized or processed prior to final use or utilization by or through OM. Upon reasonable request, you shall agree to disclose testing and analysis results of materials obtained from OM and its Partners.
You agree to notify OM within 15 business days of any testing results which cause you to reject for use any such materials or components. All disclosures of testing results shall be confidential, except OM shall be permitted, but not required, to disclose such results to the material supplier.
SECTION 14 – USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, ‘comments’), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

Nothing on the website or in these Terms of Service shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use OM’s name, logos, trademarks, or other intellectual property displayed on the website, except as expressly provided in these Terms of Service or by obtaining the written permission of OM or such other third party owner, as applicable. You acknowledge that OM will aggressively enforce its intellectual property rights with respect to its trademarks to the fullest extent of the law, including, without limitation, the seeking of criminal prosecution.

In no case shall Ocean Material, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 21 – SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 22 – TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will use reasonable efforts to provide you with notice of our termination of your access to the OM Services, where, in OM sole discretion, failure to do so would materially prejudice you. SECTION 23 – ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Arbitration:
You agree that any dispute, controversy or claim arising out of, relating to, or concerning the Site Terms, or the interpretation, performance, breach, termination or validity of the Site Terms, shall be settled by arbitration to be held in Hong Kong under the UNCITRAL Rules, in accordance with the Honk Kong International Arbitration Centre (“HKIAC”) Procedures for the Administration of International Arbitration in force at the time of arbitration. The arbitration proceedings shall be conducted in English and administered under the auspices of the HKIAC. There shall be a single arbitrator agreed upon by the parties or, if the parties are unable to agree within thirty (30) days after notice of arbitration, appointed by the HKIAC.
